Respect for Others: When interacting through any interactive portions of our Services (such as comment sections, forums, or contacting service providers through our directory, if applicable), remain respectful. 9. Purchases, Payments, and Refunds

FHSM’s total aggregate liability for any claim arising out of or relating to these Terms or our Services shall not exceed the greater of: (a) the amount you may have paid to us for a product or service in the 3 months immediately preceding the event giving rise to the claim, or (b) $100 USD. For most users, this is $0, since the Magazine itself is typically free – and it reflects the fact that we are providing information and listings as a service to the community without assuming liability.
This limitation of liability applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether FHSM has been advised of the possibility of such damages. You acknowledge that this limitation is a fundamental part of the bargain and that without such limitation, the terms and pricing (free distribution) of our Services would be different.
Exceptions: Some states or jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so portions of the above limitation may not apply to you. In such jurisdictions, FHSM’s liability will be limited to the fullest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Florida Home Services Magazine LLC, its parent, affiliates, and their respective officers, directors, employees, and agents (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, losses, damages, judgments, awards, costs, and expenses (including reasonable attorneys’ fees) that arise out of or relate to:
Your breach of these Terms: Any violation of the Terms by you, including any use of the Services that is not expressly permitted by this Agreement.
Your User Submissions/Content: Any content or information you provide (for example, if you submitted a business listing or comment that infringes someone’s rights or causes damage, and that party takes action against us).
Your use of the Services: This includes, for instance, claims arising from your use of information obtained through our Magazine/website or your interactions with third-party service providers found via FHSM.
Your violation of any law or regulation or rights of a third party in connection with your use of our Services.
FHSM reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. If we exercise this right, you agree to cooperate with our defense of that claim. You agree not to settle any such matter without the prior written consent of FHSM. We will make reasonable efforts to inform you of any such claim, action, or proceeding upon becoming aware of it.
This indemnity obligation will survive the termination or expiration of these Terms and your use of the Services. It basically means that even if you stop using the site, if a claim later arises related to your prior use, you could still be responsible for costs under this indemnity.
13. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to these Terms or the use of the Services are governed by the laws of the State of Florida, without regard to its conflict of law principles. Because FHSM is based in Florida and primarily operates in Florida, we require that Florida law will control in the event of any disagreements.
Initial Resolution Efforts: We value our users and want to address your concerns. You agree to first attempt to resolve any dispute informally by contacting us (see Contact section below) and providing a description of your issue. We will attempt in good faith to resolve the matter informally. If we are unable to reach an amicable resolution within 30 days, then the following formal dispute resolution terms apply.
Binding Arbitration: To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services (including disputes regarding the validity, breach, or termination of this Agreement) shall be resolved by binding arbitration on an individual basis. You and FHSM agree not to pursue any disputes in court (other than the limited exceptions below). Instead, a neutral arbitrator will determine the outcome, whose decision will be final (except for a limited right of appeal under the Federal Arbitration Act). Arbitration is a process more informal than a lawsuit in court, using a neutral arbitrator instead of a judge or jury.
Arbitration Procedure: The arbitration shall be administered by a reputable arbitration organization (such as the American Arbitration Association, “AAA”) under its Commercial Arbitration Rules and Mediation Procedures (or a similar set of rules). The arbitration will take place in Broward County, Florida, unless you and FHSM agree to another location. If an in-person hearing is required, you agree to travel to Broward County, FL at your own expense (if you are an individual consumer and this imposes a hardship, we will work with you and the arbitrator to find a reasonable solution, possibly a telephonic or video hearing). The language of arbitration shall be English. Each party is responsible for its own costs and attorneys’ fees, but the arbitrator can award those costs and fees to the prevailing party if allowed by law. The arbitrator will have authority to award the same damages and relief that a court could (including injunctive and declaratory relief or statutory damages), but only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. The arbitrator’s award can be confirmed and entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: **You and FHSM agree that all disputes will be resolved only on an individual basis, and not in a class, consolidated, or representative action. This means neither you nor we shall join a claim with that of any other person or entity, nor bring or participate in a class-action or similar collective proceeding. The arbitrator shall have no authority to combine or aggregate similar claims or conduct any class proceeding. You acknowledge that by agreeing to this class action waiver, you may be waiving rights to participate in class litigation or class arbitration. This waiver is an essential element of our agreement to arbitrate.
Jury Trial Waiver: If for any reason a claim proceeds in court rather than through arbitration, you and FHSM each waive any right to a jury trial. Instead, a judge will decide the case.
Exceptions to Arbitration: Notwithstanding the above, either party may choose to pursue in court: (a) claims regarding intellectual property rights (for example, trademark, trade secret, copyright or patent protection or infringement); and (b) claims for injunctive relief (seeking a court order to stop certain activities) to prevent immediate and irreparable harm. Such actions may be brought in the state or federal courts in Broward County, Florida, and for these purposes, both you and FHSM consent to the exclusive jurisdiction of those courts and waive any objection to venue or inconvenient forum. Additionally, if the arbitration agreement is found to be unenforceable (for instance, a court rules that the class action waiver is not allowed for a particular claim), then the entirety of the foregoing arbitration clause shall be null and void as to that dispute, and the dispute will be decided by a court of competent jurisdiction in Broward County, FL, rather than arbitration.
Governing Law: In any case, Florida substantive law will apply to any disputes, regardless of conflict-of-law principles, and any arbitration or court proceedings will apply Florida law (except to the extent that U.S. federal law, such as the Federal Arbitration Act, may preempt and apply). If you reside outside Florida or outside the U.S., you agree that the Uniform Computer Information Transactions Act (UCITA) or the United Nations Convention on Contracts for the International Sale of Goods (CISG) do not apply to these Terms.
This dispute resolution provision shall survive the termination of your use of the Services or expiration of these Terms. 14. Termination of Service
FHSM reserves the right to terminate or suspend your access to our website or Services at any time, for any reason, and without advance notice. For example, we may terminate or suspend access if we believe you have violated these Terms, if you engage in behavior that we believe is harmful to our interests or the user community, or if our Services to you are no longer commercially viable. We may also remove or refuse to distribute any content you provide for any reason.
If your use of the Services is terminated, the provisions in these Terms that by their nature should survive termination (such as intellectual property rights, disclaimers, limitation of liability, indemnification, and dispute resolution) will continue to apply. Termination of access or usage rights does not waive or affect any other rights or remedies we may have under law or equity.
You are free to stop using our Services at any time. If you wish to delete your account or subscription (if one exists), you may contact us to request deletion of your data as appropriate (see Privacy Policy for data deletion). No Assignment: You may not assign or transfer any rights or obligations under these Terms to anyone else without our prior written consent. We may assign our rights and obligations to an affiliate, or to a successor in interest (for example, if we undergo a corporate reorganization, or if the company is sold) without your consent.
No Third-Party Beneficiaries: These Terms are solely for the benefit of you and FHSM. They do not confer any rights or remedies on any third party (other than covered Indemnified Parties as described in Section 12).
Relationship of Parties: Using our Services does not create any agency, partnership, joint venture, or employment relationship between you and FHSM. You are an independent user of the Services.
Headings: Section headings in this Agreement are for convenience only and have no legal or contractual effect. However, we have used them to make this document easier to read.
Force Majeure: FHSM will not be liable for any delay or failure in performance of the Services (or any part of these Terms) by reason of any cause beyond our reasonable control, including acts of God, war, terrorism, civil disturbances, strikes, supply shortages, electrical or internet outages, or other events of force majeure.
