3. No Endorsement or Certification

Advertising participation does not constitute:

Endorsement
Certification
Recommendation
Approval of services

Publisher is not responsible for Advertiser’s business practices or performance.

4. Editorial Control & Discretion

Publisher retains sole editorial discretion regarding:

Acceptance or rejection
Placement
Design and formatting
Scheduling
Disclosure language

Publisher may refuse or remove advertising that violates policies or presents reputational risk.

5. Sponsored Content Disclosure

Certain advertising may be labeled as:

Sponsored
Paid Placement
Promotional Content
Featured Listing

Disclosure placement and language are determined solely by Publisher.

6. Payment Terms

All advertising is prepaid unless otherwise stated.

Payments are:

Non-refundable
Non-cancelable once scheduled or produced
Advertiser is responsible for all applicable taxes.

7. Chargebacks & Payment Disputes

Advertiser agrees not to initiate chargebacks or payment disputes.

Unauthorized chargebacks constitute material breach and may result in:

Immediate removal of advertising
Account termination
Collection efforts
Recovery of fees and costs

8. Advertiser Responsibilities

Advertiser represents that all submitted materials:

Are truthful and lawful
Do not infringe third-party rights
Comply with applicable regulations
Are properly licensed where required
Advertiser bears full responsibility for claims made.

9. Intellectual Property

Advertiser retains ownership of its trademarks and content.

Advertiser grants Publisher a royalty-free license to use submitted materials for publication, promotion, and archival purposes.

Publisher retains ownership of all layouts, formats, and publishing systems.

10. Directory Listings & Featured Programs

Directory participation and “Top-10” or limited programs:

Are not rankings or performance evaluations
Do not imply superiority or endorsement
May be modified or discontinued
Publisher retains final authority over participation.

11. Limitation of Liability

Publisher shall not be liable for indirect, incidental, or consequential damages.

Maximum liability shall not exceed the amount paid for the advertising placement.

12. Indemnification

Advertiser agrees to indemnify Publisher against claims arising from:

Advertiser services
False or misleading claims
Regulatory violations
Consumer disputes

13. Termination

Publisher may suspend or terminate advertising for policy violations, non-payment, or reputational concerns.

No refunds shall be issued upon termination.

14. Governing Law

These Terms shall be governed by the laws of the State of Florida.

Venue shall lie exclusively in Florida.

15. Updates to These Terms

Publisher may update these Terms at any time.

Updated Terms become effective upon posting.

Continued participation constitutes acceptance.

16. Entire Agreement

These Terms, together with applicable insertion orders, invoices, and policies, constitute the agreement between Publisher and Advertiser.
